欢迎你使用 SpotMate 软件及服务!

为使用 SpotMate 软件(以下简称“本软件”)及服务,你应当阅读并遵守《SpotMate服务协议》(以下简称“本协议”)。SpotMate 由独立开发者桓嵩开发并提供(以下简称“作者”或“开发者”)。

请你务必审慎阅读、充分理解各条款内容,特别是免除或者限制责任的条款、软件许可条款、数据备份与同步风险条款、会员订阅与自动续期条款、Apple 相关条款、AI 识别与图片分析结果风险条款,以及开通或使用某项服务的单独协议。限制、免责条款可能以加粗或单独段落形式提示你注意。

除非你已阅读并接受本协议全部条款,否则你无权下载、安装或使用本软件及相关服务。你的下载、安装、打开、点击同意、购买、订阅、继续使用等行为,即视为你已阅读、理解并同意受本协议约束。

如果你未满十四周岁,应在父母或其他监护人同意和指导下使用本软件;如适用法律对未成年人使用数字服务、个人信息处理或内购有更高要求,应以适用法律为准。

一、协议的范围

1.1 本协议是你与 SpotMate 开发者之间关于你下载、安装、使用本软件,以及使用 SpotMate 相关服务所订立的协议。

1.2 本协议适用于 SpotMate App、后续更新版本、补丁、功能模块、会员权益、iCloud 同步、语音与 AI 能力、AI 图片识别与物品信息整理、Siri/快捷指令入口、隐私与安全设置,以及开发者通过本软件向你提供的其他相关服务。

1.3 本协议由开发者与你之间订立,不由 Apple 订立。开发者而非 Apple 对本软件及其中内容、功能、维护、支持、隐私说明和用户服务承担责任,但不排除 Apple 依据其规则、法律或本协议享有的权利。

1.4 如你通过 App Store 获取本软件,你还应遵守 Apple Media Services Terms and Conditions、App Store 规则、Apple 标准 EULA 或 Apple 对自定 EULA 的最低条款要求。本协议不得解释为与 Apple 适用规则相冲突;如发生冲突,应在法律允许范围内以不低于 Apple 相关要求的方式解释。

1.5 如 SpotMate 未来在中国大陆提供互联网信息服务,将按照适用要求完成 APP 备案,并在本软件或相关页面显著位置公示备案信息。

二、关于本服务

2.1 本服务的内容

本服务内容是指 SpotMate 向用户提供的物品位置记忆助手服务,支持记录物品、记录放置位置、搜索和回忆物品、分类和标签管理、物品照片、备注、重要物品、位置历史、最近搜索、本地数据统计、提醒、语音记录和查找、语音播报、AI 对话理解、AI 图片识别、根据你主动提交的图片或文本辅助整理物品名称、分类、标签、保质期、有效期、保修期和提醒日期、Siri/快捷指令入口、隐私与安全设置、iCloud 同步以及会员订阅等功能。

2.2 本服务的形式

2.2.1 你使用本服务需要下载 SpotMate 客户端软件。对于本软件,开发者给予你一项个人的、不可转让、不可再许可、非排他性的许可。你仅可为访问或使用本服务的目的而使用本软件及服务。

2.2.2 本软件当前主要面向 iPhone 设备提供原生 iOS 客户端。若未来提供 iPad、macOS、Apple Watch、网页版或其他版本,用户应选择与所安装终端设备、系统版本和 Apple ID 状态相匹配的软件版本。

2.2.3 本软件不是定位追踪、资产防盗、专业仓储、法律证据、医疗健康、食品安全、商品质量鉴定、保修理赔、安全救援或财务决策工具。本软件生成的搜索结果、提醒、统计、AI 整理结果、AI 图片识别结果、物品名称建议、保质期/有效期/保修期推断和语音播报,仅基于你录入、上传、选择或确认的数据,用于日常记忆辅助。

2.3 本服务许可的范围

2.3.1 在你遵守本协议、Apple 适用规则及相关法律的前提下,开发者授予你一项有限的、个人的、非商业的、非独占的、不可转让、不可再许可的许可,用于在你拥有或控制的 Apple 品牌设备上安装、使用、显示、运行本软件,并按 Apple Media Services Terms and Conditions 中的 Usage Rules 使用。

2.3.2 通过家庭共享或批量购买可访问本软件的账号,可在 Apple 规则允许范围内使用本软件。

2.3.3 本协议未明示授权的其他一切权利仍由开发者或相关权利人保留。你在行使这些权利时,应另行取得开发者或相关权利人的书面许可。开发者未行使前述任何权利,并不构成对该权利的放弃。

三、软件的获取

3.1 你可以直接从 Apple App Store 获取本软件。

3.2 如果你从未经开发者授权的第三方获取本软件、与本软件名称相同或相似的安装程序、破解版本、修改版本、企业签名版本或测试包,开发者无法保证该软件能够正常使用,也无法保证其安全性、完整性、合法性和数据兼容性,并对因此给你造成的损失不承担责任。

3.3 你不得分发、传播、出售、出租、出借、托管、破解、再许可或以其他方式向他人提供未经授权的本软件副本。

四、软件的安装与卸载

4.1 SpotMate 可能为不同终端设备或系统版本开发不同的软件版本,你应根据实际情况选择下载合适版本进行安装。

4.2 下载安装后,你需要按照系统和 App Store 提示的步骤正确安装,并授予或拒绝相机、照片、麦克风、语音识别、通知、Face ID、iCloud 等权限。拒绝某些权限不会影响手动记录和查看本机数据,但对应功能可能无法使用。

4.3 如果你不再需要使用本软件,可以自行卸载。卸载本软件可能删除本机沙盒数据,但不一定会自动取消 App Store 订阅,也不一定会删除 iCloud 设备备份、iCloud Drive 文件、CloudKit 私有数据库中的同步快照或 Apple ID 中的订阅记录。请你在系统设置、App Store、iCloud 或相关第三方服务中另行管理。

4.4 如果你愿意帮助 SpotMate 改进产品服务,可以通过本协议列明的联系方式、App Store 页面、TestFlight 反馈或开发者后续公布的渠道告知卸载原因或使用问题。

五、软件的更新

5.1 为改善用户体验、完善服务内容、修复问题、适配系统版本、处理安全或合规要求,SpotMate 将持续开发新的服务,并不时提供软件更新。这些更新可能采取软件替换、修改、功能强化、版本升级、资源调整、文案调整、会员权益调整等形式。

5.2 为保证本软件及服务的安全性和功能一致性,开发者有权根据业务、技术、安全、法律、Apple 政策或第三方服务变化,对软件进行更新,或者对软件的部分功能效果进行改变、限制、暂停或终止。

5.3 本软件新版本发布后,旧版本软件可能无法继续使用或无法获得完整支持。开发者不保证旧版本软件继续可用,也不保证旧版本获得相同的客户服务、同步能力、会员权益或第三方服务兼容性。

5.4 部分功能可能需要安装最新版本、登录同一 Apple ID、开启必要系统权限、拥有有效会员权益或满足 Apple / 第三方服务条件后才能继续使用。

六、用户个人信息保护

6.1 保护用户个人信息是 SpotMate 的基本原则。开发者将按照适用法律法规及《隐私政策》采取合理措施保护用户个人信息。除法律法规规定或本协议、隐私政策另有说明的情形外,未经用户许可,开发者不会向第三方公开、透露用户个人信息。

6.2 SpotMate 当前以本机优先为核心。你记录或确认的物品、位置、照片、备注、标签、分类、提醒、搜索关键词、语音转写文本、AI 整理结果、AI 图片识别候选结果、保质期/有效期/保修期信息、备份文件和历史记录主要保存在你的设备本地 SQLite 数据库、App 沙盒文件、导出的 JSON 备份文件以及 iOS Keychain 等位置。

6.3 本软件可能根据你主动使用的功能处理必要信息。例如:相机和照片权限用于添加物品照片或选择用于 AI 图片识别的图片;麦克风和语音识别权限用于语音记录和查找;通知权限用于本地提醒;Face ID 用于隐私与安全解锁;iCloud / CloudKit 用于你主动开启后的多设备同步;Siri / 快捷指令用于你主动运行系统入口时记录或查找物品;在你主动开启或配置 AI 功能时,你提交的图片、语音转写文本、物品信息、期限信息和上下文可能在必要范围内用于生成物品名称、分类、标签、保质期、有效期、保修期、提醒日期等候选结果。

6.4 SpotMate 当前不主动收集通讯录、短信、通话记录、日历、精确 GPS 定位、广告标识符或剪贴板内容。你记录的位置路径是你输入的物品放置地点,不是系统 GPS 定位。

6.5 一般情况下,你可在本软件内浏览、修改、删除自己保存的物品、位置、照片、标签、分类、提醒、AI 整理结果、AI 图片识别候选结果、搜索记录和相关设置。你也可以通过系统设置撤回相机、照片、麦克风、语音识别、通知或 Face ID 等权限。

6.6 对于 SpotMate 如何收集、使用、存储和保护你的个人信息,以及你享有何种权利,你还可以阅读 SpotMate《隐私政策》予以进一步了解。

七、主权利义务条款

7.1 账号与 Apple ID 使用规范

7.1.1 SpotMate 当前主要使用 Apple 提供的 App Store、StoreKit、iCloud、CloudKit、Siri、快捷指令、系统备份等平台能力。正式购买、订阅、恢复购买、退款、账单和家庭共享等事项,由 App Store / Apple ID 的订阅与付款系统处理。

7.1.2 iCloud 同步使用用户个人 Apple ID 对应的 iCloud/CloudKit 私有数据库。同一 Apple ID 下的设备可能共享同一份云端快照;不同 Apple ID 的私有数据库相互隔离,即使 App 使用固定的 CloudKit zone 或 record name,也不代表不同用户之间可互相访问。

7.1.3 用户有责任妥善保管 Apple ID、设备解锁密码、App 内本地密码、外部 AI API Key、备份文件和相关账号信息。你同意不向他人泄露账号、密码、密钥、备份文件或可访问你数据的设备。

7.2 用户注意事项

7.2.1 你理解并同意:为了向你提供有效服务,本软件会利用你终端设备的处理器、存储空间、网络连接、iCloud 空间、系统权限和 Apple 平台能力。你主动使用 AI 对话理解、AI 图片识别或物品信息整理功能时,可能需要将你提交的文本、图片或相关上下文发送至你选择、配置或本软件接入的外部 AI 服务。本软件使用过程中可能产生数据流量、iCloud 存储、第三方 AI API、运营商或第三方服务费用,相关费用由你自行向对应服务商了解并承担。

7.2.2 你理解并同意,SpotMate 将尽商业上的合理努力保障本软件及服务中的数据安全,但是开发者不能就此提供完全保证,包括但不限于以下情形:

7.2.2.1 开发者不对你在本软件及服务中相关数据的删除、覆盖、导入失败、导出失败、保存失败、同步失败或恢复失败作超出法律规定的保证;

7.2.2.2 删除 App、清空数据、导入覆盖备份、删除备份文件、关闭或删除 iCloud 设备备份、关闭或覆盖 iCloud 同步、设备损坏、系统清理、系统升级异常或你自行删除文件,均可能导致数据无法恢复;

7.2.2.3 如果你停止使用本软件及服务,或服务被终止、取消、暂停,你可以自行删除本机和云端数据。服务停止、终止或取消后,开发者可能无权或无法为你找回任何数据;

7.2.2.4 你应自行保证本地设备、iCloud 存储空间、网络状态、系统权限、Apple ID 状态和备份文件的安全与充足。

7.2.3 用户在使用本软件及服务时,须自行承担如下来自开发者不可掌控的风险,包括但不限于:

7.2.3.1 由于不可抗力、系统故障、设备损坏、网络异常、第三方服务异常、账号异常等因素引起的个人信息或数据丢失、泄漏、同步不完整等风险;

7.2.3.2 用户必须选择与所安装终端设备和系统版本相匹配的软件版本,否则由于软件与终端设备、系统版本、Apple ID 状态或地区不匹配所导致的问题或损害,由用户自行承担;

7.2.3.3 用户在使用本软件访问第三方网站、外部 AI 服务、AI 图片识别或图像理解服务、iCloud、App Store、系统分享对象、文件 App 或第三方云盘时,因第三方服务及相关内容导致的数据处理、识别错误、响应延迟、服务不可用、费用或合规风险由用户自行承担;

7.2.3.4 用户主动导出、分享、转发、上传、保存备份文件或截图,因此等传播可能带来的风险和责任由用户自行承担;

7.2.3.5 由于无线网络信号不稳定、网络带宽小、iCloud 空间不足、CloudKit 生产环境状态、Apple 服务状态、StoreKit 商品状态等原因引起的同步失败、资料同步不完整、商品加载失败、购买无法完成、页面打开速度慢等风险。

7.3 会员与订阅服务

7.3.1 SpotMate 可能提供 Pro 会员、月度会员、年度会员、永久会员等付费服务。当前 App 中的 StoreKit 商品标识包括 spotmate_pro_monthly、spotmate_pro_yearly 和 spotmate_pro_lifetime。具体名称、价格、优惠、权益范围、试用、家庭共享、有效期和可购买性,以 App 内展示、App Store 商品页、Apple 购买确认页和 Apple 适用政策为准。

7.3.2 免费版可能存在功能限制,包括最多记录 30 件物品、最多创建 5 个分类、最多创建 5 个标签、不能开启 AI 对话理解服务、不能开启独立 iCloud 同步入口、不能接入系统搜索功能等。Pro 或会员权益用于解除或扩展这些限制,具体以 App 当前版本展示为准。

7.3.3 月度会员和年度会员通常为自动续期订阅,除非你在当前订阅周期结束前按 Apple 规则取消。订阅续费、取消、账单、价格确认、退款、家庭共享和付款问题由 App Store / Apple ID 的订阅与付款系统处理。

7.3.4 永久会员为一次性购买权益,用于在购买时 App 展示的范围内解锁相应 Pro 能力;但它不代表 App 永久不变、所有未来新增服务均免费、第三方服务费用由开发者承担,或未来明显独立的新服务永远不再收费。

7.3.5 你可以在 App Store 或 iOS 系统订阅管理页面查看、管理或取消订阅;也可以在 SpotMate 会员页面使用“恢复购买”以恢复当前 Apple ID 下可验证的购买权益。

7.3.6 当前开发阶段或测试版本中可能存在“本地模拟开通”等调试状态。该状态仅用于开发或测试,不会向 Apple 发起真实付款,不代表正式订阅、正式购买或可在 App Store 发行版本中保留的权益。

7.4 第三方产品和服务

7.4.1 你在使用本软件中第三方提供的产品或服务时,除遵守本协议约定外,还应遵守第三方用户协议、隐私政策、API 使用政策、账号规则和计费规则。开发者和第三方对可能出现的纠纷在法律规定和约定范围内各自承担责任。

7.4.2 因用户使用本软件或要求开发者提供特定服务时,本软件可能调用 Apple 系统能力或第三方系统,或者通过第三方支持用户的使用或访问,使用或访问的结果由该第三方提供,包括但不限于 App Store、StoreKit、iCloud、CloudKit、iOS Speech、Siri、快捷指令、Face ID、Keychain、系统分享、文件选择、外部 AI 服务、AI 图片识别或图像理解服务和第三方云服务。外部 AI 服务可能根据其自身规则处理你提交的文本、图片和上下文,并可能返回物品名称、分类、标签、保质期、有效期、保修期或提醒日期等候选结果。开发者不保证第三方服务及内容的安全性、准确性、有效性、持续可用性及其他不确定风险,由此若引发争议及损害,应按相关第三方条款和法律规定处理。

7.4.3 你理解并同意,开发者有权决定将本软件作商业用途,包括但不限于将本软件的部分服务开发为会员增值权益,并收取一定的会员增值费用。

八、用户行为规范

8.1 信息内容规范

8.1.1 本条所述信息内容是指用户使用本软件及服务过程中制作、输入、保存、导入、导出、分享、上传、传播或用于 AI 解析的任何内容,包括但不限于物品名称、位置、照片、图片、包装或票据信息、备注、标签、分类、提醒、保质期、有效期、保修期、搜索关键词、语音转写文本、AI 对话上下文、AI 图片识别候选结果、用户昵称或其他使用本软件及服务所产生的内容。

8.1.2 你理解并同意,开发者致力于为用户提供文明健康、规范有序的产品环境。你不得利用本软件及服务制作、发布、传播、储存如下干扰 SpotMate 正常运营,或侵犯其他用户、第三方、公共利益合法权益的内容,包括但不限于:

8.1.2.1 违反宪法确定的基本原则,危害国家安全,泄露国家秘密,颠覆国家政权,破坏国家统一,损害国家荣誉和利益的内容;

8.1.2.2 煽动民族仇恨、民族歧视,破坏民族团结,破坏国家宗教政策,宣扬邪教和封建迷信的内容;

8.1.2.3 散布谣言,扰乱社会秩序,破坏社会稳定,散布淫秽、色情、赌博、暴力、恐怖或者教唆犯罪的内容;

8.1.2.4 侮辱或者诽谤他人,侵害他人名誉权、肖像权、隐私权、个人信息权益、知识产权、商业秘密等合法权益的内容;

8.1.2.5 涉及他人隐私、个人信息或敏感资料,且未经合法授权处理的内容;

8.1.2.6 发表、传送、传播骚扰、广告、过度营销、垃圾信息、恶意代码或含有任何性或性暗示的内容;

8.1.2.7 其他违反法律法规、政策、公序良俗、社会公德,或干扰 SpotMate 正常运营、侵犯其他用户或第三方合法权益的内容。

8.2 软件使用规范

8.2.1 除非法律允许或开发者书面许可,你使用本软件过程中不得从事下列行为:

8.2.1.1 删除、遮盖或修改本软件上的著作权、商标权或其他权利声明;

8.2.1.2 对本软件进行反向工程、反向汇编、反向编译,或者以其他方式尝试发现本软件源代码、内部结构、接口逻辑或安全机制;

8.2.1.3 对开发者拥有知识产权的内容进行使用、出租、出借、复制、修改、链接、转载、汇编、发表、出版、建立镜像站点或制作衍生作品;

8.2.1.4 对本软件、本软件运行过程中释放到终端内存中的数据、客户端与系统或第三方服务交互的数据,以及本软件运行所必需的系统数据进行复制、修改、增加、删除、挂接运行或创作衍生作品;

8.2.1.5 通过修改或伪造软件运行中的指令、数据、交易状态、会员状态、同步状态、AI 配置或权限状态,增加、删减、变动软件功能或运行效果;

8.2.1.6 通过非开发者开发或授权的第三方软件、插件、外挂、系统、脚本、自动化工具登录或使用 SpotMate 软件及服务,或制作、发布、传播上述工具;

8.2.1.7 自行或授权他人、第三方软件对本软件及其组件、模块、数据、会员权益、同步逻辑、StoreKit 交易验证、iCloud 数据或 AI 配置进行干扰;

8.2.1.8 绕过 App Store、StoreKit、会员限制、系统权限、iCloud 状态或其他技术措施,或以伪造、破解、抓包重放、篡改本地数据等方式获得未授权权益;

8.2.1.9 其他未经开发者明示授权的行为。

8.2.2 你理解并同意,基于用户体验、软件和相关服务平台安全、Apple 平台规则、法律法规及产品健康发展等综合因素,开发者有权决定功能设置、功能开放、数据接口和相关数据披露的对象与范围。针对违反法律法规、本协议、平台规则或存在安全隐患的行为,开发者有权视情况中止或终止提供全部或部分服务。

8.3 服务运营规范

除非法律允许或开发者书面许可,你使用本服务过程中不得从事下列行为:提交、发布虚假信息或冒充他人;诱导他人点击链接或分享信息;虚构事实、隐瞒真相误导他人;侵害他人合法权益;未经许可利用本软件功能进行推广、互推或商业活动;利用本软件从事任何违法犯罪活动;制作、发布、传播与上述行为相关的方法或工具;其他违反法律法规、侵犯他人合法权益、干扰产品正常运营或开发者未明示授权的行为。

8.4 对自己行为负责

你充分了解并同意,你必须为自己在本软件及服务中的一切行为负责,包括你录入、导入、保存、导出、分享、上传、用于 AI 解析或通过快捷指令写入的任何内容,以及由此产生的任何后果。你应对本服务中的内容自行判断,并承担因使用内容而引起的所有风险,包括因依赖物品名称、位置、照片识别、保质期、有效期、保修期、提醒日期、AI 输出或搜索结果的正确性、完整性、实用性或可恢复性而产生的风险。开发者无法且不会对因前述风险而导致的任何损失或损害承担超出法律规定的责任。

8.5 违约处理

如果开发者发现或收到他人举报、投诉用户违反本协议约定,开发者有权根据合理判断采取包括但不限于提醒、限制或禁止使用部分或全部功能、暂停服务、终止服务、删除违法违规内容、向有关部门报告、依法保存相关信息、采取法律行动等措施。因你违反本协议或相关服务条款,导致或产生第三方主张的索赔、要求或损失,你应当独立承担责任;开发者因此遭受损失的,你也应依法承担赔偿责任。

九、知识产权声明

9.1 开发者是本软件的知识产权权利人。本软件的一切著作权、商标权、专利权、商业秘密等知识产权,以及与本软件相关的界面、图标、文字、设计、结构、源代码、数据库结构、算法逻辑、服务标识和相关文档,均受中华人民共和国法律法规、美国法律及相应国际条约保护,开发者或相关权利人享有上述知识产权。

9.2 未经开发者或相关权利人书面同意,你不得为任何商业或非商业目的自行或许可任何第三方实施、利用、转让、复制、修改、传播、出租、出借、展示、运行、反向工程、再许可或以其他方式使用上述知识产权。

9.3 你使用本软件及服务过程中输入、上传、保存或发布的合法内容,不会因为使用本软件而发生知识产权、肖像权等权利的转移。与此同时,你理解并同意,为实现产品目的,开发者可在法律允许范围内对你主动提交给本软件处理的内容进行必要处理,包括但不限于本机存储、检索、展示、提醒、同步、导入导出、语音播报、图片识别、物品信息整理、AI 解析或根据你的指令分享。

9.4 如第三方主张本软件或你持有、使用本软件侵犯其知识产权,开发者而非 Apple 将在法律规定范围内负责调查、抗辩、和解和处理该等知识产权侵权索赔。

十、终端安全责任

10.1 你理解并同意,本软件同大多数软件一样,可能会受多种因素影响,包括但不限于用户原因、网络服务质量、系统版本、Apple 平台服务、第三方 AI 服务、AI 图片识别服务、iCloud 状态、社会环境等;也可能受各种安全问题侵扰,包括但不限于他人非法利用用户资料、恶意程序、木马、钓鱼网站、设备丢失、账号泄露等,继而影响本软件的正常使用或数据安全。因此,你应加强信息安全及个人信息保护意识,注意设备、Apple ID、App 密码、API Key、图片内容和备份文件保护,以免遭受损失。

10.2 你不得制作、发布、使用、传播用于窃取他人个人信息、财产、Apple ID、App 数据、备份文件、API Key 或会员权益的恶意程序、脚本、插件或工具。

10.3 维护软件安全与正常使用是开发者和你的共同责任。开发者将按照行业标准合理审慎地采取必要技术措施保护你的终端设备信息和数据安全,但是你承认并同意,开发者不能就此提供完全保证。

十一、Apple 相关条款

11.1 维护与支持:开发者在法律要求或本协议说明范围内负责本软件的维护和支持。你和开发者确认,Apple 没有义务为本软件提供任何维护或支持服务。

11.2 保证与退款:如本软件未能符合任何适用保证,你可通知 Apple;Apple 可按其规则退还你为该 App 支付的购买价格(如适用)。在法律允许的最大范围内,Apple 对本软件不承担其他保证义务;任何其他因未符合保证产生的索赔、损失、责任、损害、成本或费用,由开发者而非 Apple 在法律规定范围内负责。

11.3 产品索赔:你和开发者确认,开发者而非 Apple 负责处理与你或第三方有关本软件或你持有、使用本软件相关的索赔,包括但不限于产品责任索赔、本软件未符合适用法律或监管要求的索赔、消费者保护、隐私或类似法律项下的索赔。

11.4 第三方受益人:你和开发者确认并同意,Apple 及 Apple 的子公司是本协议中 Apple 相关条款的第三方受益人。你接受本协议后,Apple 将有权并被视为已接受该权利,作为第三方受益人向你执行本协议中与 Apple 权益相关的内容。

11.5 出口管制:你不得在违反美国法律、你所在地法律或取得本软件所在地法律的情况下使用、出口或再出口本软件。你声明并保证:你不位于美国政府禁运的国家或地区,也不位于被美国政府指定为支持恐怖主义的国家或地区;你未被列入美国财政部特别指定国民名单、美国商务部拒绝人员名单、实体清单或其他适用的禁止或限制方名单。

11.6 美国政府最终用户:本软件及相关文档属于 48 C.F.R. §2.101 定义的“商业项目”,包括“商业计算机软件”和“商业计算机软件文档”。美国政府最终用户仅按本协议授予所有其他最终用户的权利取得本软件及相关文档。未公布权利受美国著作权法保护。

十二、免责声明与责任限制

12.1 在法律允许的最大范围内,SpotMate 及相关服务按“现状”和“可用”提供。开发者不对本软件无错误、不中断、始终安全、始终可用、完全准确、满足你的全部需求、一定找回物品或一定恢复数据作出明示或默示保证。

12.2 开发者不对因以下原因造成的数据丢失、功能不可用、结果错误或损失承担超出法律规定的责任:系统权限变化、设备故障、系统升级、Apple/iCloud 备份或恢复异常、CloudKit 状态、App Store 或 StoreKit 状态、外部 AI 服务异常、AI 图片识别或图像理解异常、物品信息抽取错误、保质期/有效期/保修期识别错误、用户自行删除或覆盖数据、备份文件损坏、网络异常、误操作、第三方服务变更或不可抗力。

12.3 SpotMate 不能保证一定找回物品,不能替代你对实物位置、权限、食品或药品安全、商品质量、到期时间、保质期、有效期、保修条款、借出归还关系或其他现实情况的确认。AI 输出、AI 图片识别结果、图像文字识别结果、语音识别、搜索结果、提醒结果和统计结果可能存在错误、遗漏、延迟或误解,你应自行核对后再采取行动。

12.4 在法律允许的最大范围内,开发者不对因使用或无法使用本软件引起的间接、附带、特殊、惩罚性、后果性损害,或利润损失、业务中断、数据丢失、设备损坏、第三方费用、商誉损失承担责任,即使开发者已被告知可能发生该等损害。

12.5 在法律允许的范围内,开发者对你承担的全部责任以你因使用 SpotMate 在过去十二个月内实际向 Apple 或开发者支付的金额为上限;如你未支付任何费用,则以 50 美元或适用法律允许的最低/最高限额为准。法律另有强制规定的,从其规定。

十三、其他

13.1 你使用本软件即视为你已阅读并同意受本协议约束。开发者有权在必要时修改本协议条款。你可以在本软件最新版本、开发者公示页面或 App Store 页面中查阅相关协议条款。本协议条款变更后,如果你继续使用本软件,即视为你已接受修改后的协议;如果你不接受修改后的协议,应停止使用本软件。

13.2 本协议签订地为中华人民共和国云南省西双版纳傣族自治州景洪市。

13.3 本协议的成立、生效、履行、解释及纠纷解决,适用中华人民共和国大陆地区法律(不包括冲突法),但不排除 Apple 规则、用户所在地强制性消费者保护法律及其他不得排除的强制性法律规定。

13.4 若你和开发者之间发生任何纠纷或争议,首先应友好协商解决;协商不成的,你同意将纠纷或争议提交本协议签订地有管辖权的人民法院管辖,但消费者所在地法律另有强制规定的除外。

13.5 本协议明确排除适用《联合国国际货物销售合同公约》。

13.6 本协议所有条款的标题仅为阅读方便,本身并无实际含义,不能作为本协议含义解释的依据。

13.7 本协议条款无论因何种原因部分无效或不可执行,其余条款仍有效,对双方具有约束力。

Introduction

Welcome to SpotMate and its services!

Before using the SpotMate software (the “Software”) and related services, you should read and comply with these SpotMate Terms of Service (the “Agreement”). SpotMate is developed and provided by independent developer Huan Song (the “Author” or “Developer”).

Please read this Agreement carefully and make sure you fully understand all terms, especially those relating to exclusions or limitations of liability, software license, data backup and synchronization risks, membership subscriptions and automatic renewal, Apple-related terms, AI recognition and image-analysis result risks, and any separate agreements that may apply when you enable or use specific services. Terms involving limitations of liability or disclaimers may be highlighted in bold or presented in separate paragraphs for your attention.

Unless you have read and accepted all terms of this Agreement, you are not authorized to download, install, or use the software or related services. By downloading, installing, opening, clicking to agree, purchasing, subscribing to, or continuing to use the software or related services, you will be deemed to have read, understood, and agreed to be bound by this Agreement.

If you are under the age of 14, you should use the software only with the consent and guidance of your parent or other legal guardian. If applicable laws impose higher requirements for minors’ use of digital services, personal information processing, or in-app purchases, such applicable laws shall prevail.

1. Scope of the Agreement

1.1 This Agreement is entered into between you and the SpotMate Developer regarding your download, installation, and use of the software, as well as your use of SpotMate-related services.

1.2 This Agreement applies to the SpotMate app, subsequent updates, patches, feature modules, membership benefits, iCloud sync, voice and AI capabilities, AI image recognition and item-information extraction, Siri/Shortcuts access, privacy and security settings, and other related services provided to you by the Developer through the software.

1.3 This Agreement is entered into between the Developer and you, not Apple. The Developer, not Apple, is responsible for the software and its content, features, maintenance, support, privacy notices, and user services. This does not exclude any rights Apple may have under its rules, applicable laws, or this Agreement.

1.4 If you obtain the software through the App Store, you must also comply with the Apple Media Services Terms and Conditions, App Store rules, Apple’s standard EULA, or Apple’s minimum requirements for custom EULAs. This Agreement shall not be interpreted in a manner that conflicts with applicable Apple rules. In the event of any conflict, this Agreement shall be interpreted, to the extent permitted by law, in a manner that is no less protective than the applicable Apple requirements.

1.5 If SpotMate provides internet information services in mainland China in the future, it will complete app filing procedures in accordance with applicable requirements and display the filing information in a prominent location within the software or on relevant pages.

2. About the Service

2.1 Content of the Service

The service refers to the item location memory assistant services provided by SpotMate to users. These services support features including recording items, recording item locations, searching for and recalling items, category and tag management, item photos, notes, important items, location history, recent searches, local data statistics, reminders, voice recording and search, voice playback, AI conversation understanding, AI image recognition, AI-assisted extraction of item names, categories, tags, shelf-life dates, expiry dates, warranty periods, and reminder dates from photos or text you actively submit, Siri/Shortcuts access, privacy and security settings, iCloud sync, and membership subscriptions.

2.2 Form of the Service

2.2.1 To use the service, you need to download the SpotMate client software. For this software, the Developer grants you a personal, non-transferable, non-sublicensable, non-exclusive license. You may use the software and services only for the purpose of accessing or using the service.

2.2.2 The software currently provides a native iOS client primarily for iPhone devices. If iPad, macOS, Apple Watch, web, or other versions are provided in the future, users should select the software version that matches their installed device, system version, and Apple ID status.

2.2.3 The software is not a location tracking, anti-theft asset protection, professional warehousing, legal evidence, medical health, food safety, product quality assessment, warranty-claim, safety rescue, or financial decision-making tool. Search results, reminders, statistics, AI-organized results, AI image-recognition results, item-name suggestions, shelf-life/expiry/warranty inferences, and voice playback generated by the software are based only on data you have entered, uploaded, selected, or confirmed and are intended solely as everyday memory assistance.

2.3 Scope of the Service License

2.3.1 Subject to your compliance with this Agreement, applicable Apple rules, and applicable laws, the Developer grants you a limited, personal, non-commercial, non-exclusive, non-transferable, non-sublicensable license to install, use, display, and run the software on Apple-branded devices that you own or control, and to use the software in accordance with the Usage Rules set forth in the Apple Media Services Terms and Conditions.

2.3.2 Accounts that access the software through Family Sharing or volume purchase may use the software within the scope permitted by Apple rules.

2.3.3 All rights not expressly granted under this Agreement are reserved by the Developer or relevant rights holders. You must obtain separate written permission from the Developer or relevant rights holders before exercising any such rights. The Developer’s failure to exercise any of the foregoing rights shall not constitute a waiver of such rights.

3. Obtaining the Software

3.1 You may obtain the software directly from the Apple App Store.

3.2 If you obtain the software, an installer with the same or similar name, a cracked version, modified version, enterprise-signed version, or test package from any third party not authorized by the Developer, the Developer cannot guarantee that such software will function properly, nor can the Developer guarantee its security, integrity, legality, or data compatibility. The Developer shall not be liable for any losses caused thereby.

3.3 You may not distribute, disseminate, sell, rent, lend, host, crack, sublicense, or otherwise provide unauthorized copies of the software to others.

4. Installation and Uninstallation

4.1 SpotMate may develop different software versions for different terminal devices or system versions. You should select and install the appropriate version based on your actual circumstances.

4.2 After downloading and installation, you need to correctly install the software according to the prompts of the system and the App Store, and grant or deny permissions such as camera, photos, microphone, speech recognition, notifications, Face ID, and iCloud. Refusing certain permissions will not affect manual recording and viewing of local data, but the corresponding features may be unavailable.

4.3 If you no longer need to use the software, you may uninstall it by yourself. Uninstalling the software may delete local sandbox data, but it may not automatically cancel App Store subscriptions, nor will it necessarily delete iCloud device backups, iCloud Drive files, sync snapshots in the CloudKit private database, or subscription records in your Apple ID. Please manage these separately in system settings, the App Store, iCloud, or relevant third-party services.

4.4 If you are willing to help SpotMate improve its products and services, you may provide feedback about the reason for uninstallation or usage issues through the contact information listed in this Agreement, the App Store page, TestFlight feedback, or any channels later announced by the Developer.

5. Software Updates

5.1 To improve user experience, enhance service content, fix issues, adapt to system versions, and address security or compliance requirements, SpotMate will continue to develop new services and provide software updates from time to time. Such updates may take the form of software replacement, modification, feature enhancement, version upgrade, resource adjustment, text adjustment, membership benefit adjustment, or other forms.

5.2 To ensure the security and functional consistency of the software and services, the Developer has the right to update the software, or to change, restrict, suspend, or terminate the effects of certain software features, based on business, technical, security, legal, Apple policy, or third-party service changes.

5.3 After a new version of the software is released, older versions may no longer continue to function or receive full support. The Developer does not guarantee that older versions will remain available, nor does the Developer guarantee that older versions will receive the same customer service, sync capabilities, membership benefits, or third-party service compatibility.

5.4 Certain features may require installation of the latest version, use of the same Apple ID, enabling necessary system permissions, having valid membership benefits, or satisfying Apple or third-party service conditions before they can continue to be used.

6. Protection of Users’ Personal Information

6.1 Protecting users’ personal information is a fundamental principle of SpotMate. The Developer will take reasonable measures to protect users’ personal information in accordance with applicable laws and regulations and the Privacy Policy. Except as required by laws and regulations or as otherwise stated in this Agreement or the Privacy Policy, the Developer will not disclose or reveal users’ personal information to third parties without users’ permission.

6.2 SpotMate is currently built around a local-first approach. The items, locations, photos, notes, tags, categories, reminders, search keywords, voice transcription texts, AI-organized results, AI image-recognition candidate results, shelf-life/expiry/warranty information, backup files, and history records you save or confirm are mainly stored in your device’s local SQLite database, app sandbox files, exported JSON backup files, and the iOS Keychain.

6.3 The software may process necessary information based on features you actively use. For example, camera and photos permissions are used to add item photos or select photos for AI image recognition; microphone and speech recognition permissions are used for voice recording and search; notification permission is used for local reminders; Face ID is used for privacy and security unlocking; iCloud/CloudKit is used for multi-device sync after you actively enable it; Siri/Shortcuts are used to record or search for items when you actively run system entries. When you actively enable or configure AI features, images, voice transcription texts, item information, date information, and context you submit may be used, to the extent necessary, to generate candidate results such as item names, categories, tags, shelf-life dates, expiry dates, warranty periods, and reminder dates.

6.4 SpotMate currently does not actively collect contacts, SMS messages, call records, calendars, precise GPS location, advertising identifiers, or clipboard contents. The location paths you record are item placement locations entered by you, not system GPS locations.

6.5 In general, you may browse, modify, and delete the items, locations, photos, tags, categories, reminders, AI-organized results, AI image-recognition candidate results, search records, and related settings you save within the software. You may also revoke permissions such as camera, photos, microphone, speech recognition, notifications, or Face ID through system settings.

6.6 For further information about how SpotMate collects, uses, stores, and protects your personal information, and what rights you have, you may also read the SpotMate Privacy Policy.

7. Key Rights and Obligations

7.1 Apple ID and Account Usage Rules

7.1.1 SpotMate currently mainly uses platform capabilities provided by Apple, including the App Store, StoreKit, iCloud, CloudKit, Siri, Shortcuts, and system backups. Formal purchases, subscriptions, purchase restoration, refunds, billing, and Family Sharing are handled by the subscription and payment system of the App Store and Apple ID.

7.1.2 iCloud sync uses the iCloud/CloudKit private database corresponding to the user’s personal Apple ID. Devices under the same Apple ID may share the same cloud snapshot. Private databases under different Apple IDs are isolated from each other. Even if the app uses a fixed CloudKit zone or record name, this does not mean that different users can access each other’s data.

7.1.3 Users are responsible for properly safeguarding their Apple ID, device unlock password, in-app local password, external AI API key, backup files, and related account information. You agree not to disclose accounts, passwords, keys, backup files, or devices that can access your data to others.

7.2 User Notices

7.2.1 You understand and agree that, in order to provide effective services to you, the software will use your terminal device’s processor, storage space, network connection, iCloud storage, system permissions, and Apple platform capabilities. When you actively use AI conversation understanding, AI image recognition, or item-information extraction features, the text, images, or related context you submit may need to be sent to external AI services that you choose, configure, or that are integrated with the software. Data traffic, iCloud storage, third-party AI API, carrier, or third-party service fees may be incurred during your use of the software. You are responsible for understanding and bearing such fees from the corresponding service providers.

7.2.2 You understand and agree that SpotMate will use commercially reasonable efforts to protect the security of data in the software and services, but the Developer cannot provide a complete guarantee in this regard, including but not limited to the following circumstances:

7.2.2.1 The Developer does not provide guarantees beyond those required by law regarding deletion, overwriting, import failure, export failure, saving failure, sync failure, or recovery failure of your data related to the software and services.

7.2.2.2 Deleting the app, clearing data, importing and overwriting backups, deleting backup files, disabling or deleting iCloud device backups, disabling or overwriting iCloud sync, device damage, system cleanup, system upgrade abnormalities, or your own deletion of files may all result in data becoming unrecoverable.

7.2.2.3 If you stop using the software and services, or if the services are terminated, canceled, or suspended, you may delete local and cloud data by yourself. After the services are stopped, terminated, or canceled, the Developer may have no right or ability to recover any data for you.

7.2.2.4 You should ensure the security and sufficiency of your local device, iCloud storage space, network status, system permissions, Apple ID status, and backup files.

7.2.3 When using the software and services, users shall bear the following risks that are beyond the Developer’s control, including but not limited to:

7.2.3.1 Risks of personal information or data loss, leakage, incomplete sync, and similar issues caused by force majeure, system failures, device damage, network abnormalities, third-party service abnormalities, account abnormalities, and other factors.

7.2.3.2 Users must choose a software version that matches the terminal device and system version installed. Otherwise, problems or damages caused by mismatch between the software and the terminal device, system version, Apple ID status, or region shall be borne by the user.

7.2.3.3 When users access third-party websites, external AI services, AI image-recognition or image-understanding services, iCloud, the App Store, system sharing targets, the Files app, or third-party cloud drives through the software, risks caused by third-party services and related content, including data processing, recognition errors, response delays, service unavailability, fees, or compliance risks, shall be borne by the user.

7.2.3.4 Users shall bear the risks and liabilities arising from actively exporting, sharing, forwarding, uploading, or saving backup files or screenshots, and from any resulting dissemination.

7.2.3.5 Risks such as sync failure, incomplete data sync, product loading failure, inability to complete purchases, and slow page loading caused by unstable wireless network signals, limited network bandwidth, insufficient iCloud storage, CloudKit production environment status, Apple service status, StoreKit product status, and similar reasons.

7.3 Membership and Subscription Services

7.3.1 SpotMate may provide paid services such as Pro membership, monthly membership, yearly membership, and lifetime membership. Current StoreKit product identifiers in the app include spotmate_pro_monthly, spotmate_pro_yearly, and spotmate_pro_lifetime. The specific names, prices, offers, scope of benefits, trials, Family Sharing availability, validity periods, and availability for purchase shall be subject to the in-app display, App Store product page, Apple purchase confirmation page, and applicable Apple policies.

7.3.2 The free version may have feature limitations, including a maximum of 30 recorded items, a maximum of 5 categories, a maximum of 5 tags, inability to enable AI conversation understanding services, inability to enable the separate iCloud sync entry, inability to access system search features, and other limitations. Pro or membership benefits are used to remove or extend these limitations, subject to the display in the current version of the app.

7.3.3 Monthly membership and yearly membership are generally auto-renewable subscriptions, unless you cancel them according to Apple rules before the end of the current subscription period. Subscription renewal, cancellation, billing, price confirmation, refunds, Family Sharing, and payment issues are handled by the subscription and payment system of the App Store and Apple ID.

7.3.4 Lifetime membership is a one-time purchase benefit used to unlock corresponding Pro capabilities within the scope displayed in the app at the time of purchase. However, it does not mean that the app will never change, that all future new services will be free, that third-party service fees will be borne by the Developer, or that clearly independent new services will never be charged for in the future.

7.3.5 You may view, manage, or cancel subscriptions in the App Store or the iOS system subscription management page. You may also use “Restore Purchases” on the SpotMate membership page to restore verifiable purchase benefits under your current Apple ID.

7.3.6 During the current development stage or in test versions, there may be debugging states such as “local simulated activation”. Such states are used only for development or testing, will not initiate real payment to Apple, and do not represent formal subscriptions, formal purchases, or benefits that may be retained in App Store release versions.

7.4 Third-Party Products and Services

7.4.1 When you use products or services provided by third parties within the software, in addition to complying with this Agreement, you must also comply with the third party’s user agreements, privacy policies, API usage policies, account rules, and billing rules. The Developer and the third party shall each assume responsibility for any disputes within the scope provided by law and agreement.

7.4.2 When users use the software or request the Developer to provide specific services, the software may call Apple system capabilities or third-party systems, or support users’ use or access through third parties. The results of such use or access are provided by the relevant third party, including but not limited to the App Store, StoreKit, iCloud, CloudKit, iOS Speech, Siri, Shortcuts, Face ID, Keychain, system sharing, file selection, external AI services, AI image-recognition or image-understanding services, and third-party cloud services. External AI services may process the text, images, and context you submit under their own terms and may return candidate results such as item names, categories, tags, shelf-life dates, expiry dates, warranty periods, or reminder dates. The Developer does not guarantee the security, accuracy, validity, continuous availability, or other uncertain risks of third-party services and content. Any disputes or damages arising therefrom shall be handled in accordance with the relevant third-party terms and applicable laws.

7.4.3 You understand and agree that the Developer has the right to use the software for commercial purposes, including but not limited to developing certain services of the software into value-added membership benefits and charging certain value-added membership fees.

8. User Conduct Rules

8.1 Information Content Rules

8.1.1 The information content referred to in this section means any content created, entered, saved, imported, exported, shared, uploaded, disseminated, or used for AI parsing by users during their use of the software and services, including but not limited to item names, locations, photos, images, packaging or receipt information, notes, tags, categories, reminders, shelf-life dates, expiry dates, warranty periods, search keywords, voice transcription texts, AI conversation context, AI image-recognition candidate results, user nicknames, or other content generated through the use of the software and services.

8.1.2 You understand and agree that the Developer is committed to providing users with a civilized, healthy, standardized, and orderly product environment. You may not use the software and services to create, publish, disseminate, or store content that interferes with the normal operation of SpotMate, or infringes the lawful rights and interests of other users, third parties, or the public interest, including but not limited to:

8.1.2.1 Content that violates the basic principles established by the Constitution, endangers national security, leaks state secrets, subverts state power, undermines national unity, or harms national honor and interests.

8.1.2.2 Content that incites ethnic hatred or ethnic discrimination, undermines ethnic unity, undermines national religious policies, or promotes cults or feudal superstition.

8.1.2.3 Content that spreads rumors, disrupts social order, undermines social stability, or disseminates obscenity, pornography, gambling, violence, terrorism, or criminal inducement.

8.1.2.4 Content that insults or defames others, or infringes others’ rights of reputation, portrait rights, privacy rights, personal information rights, intellectual property rights, trade secrets, or other lawful rights and interests.

8.1.2.5 Content involving others’ privacy, personal information, or sensitive materials without lawful authorization for processing.

8.1.2.6 Content that publishes, transmits, or disseminates harassment, advertisements, excessive marketing, spam, malicious code, or any sexual or sexually suggestive content.

8.1.2.7 Other content that violates laws, regulations, policies, public order and good morals, or social ethics, or interferes with the normal operation of SpotMate, or infringes the lawful rights and interests of other users or third parties.

8.2 Software Usage Rules

8.2.1 Unless permitted by law or with the written permission of the Developer, you may not engage in the following acts when using the software:

8.2.1.1 Deleting, covering, or modifying copyright, trademark, or other rights notices on the software.

8.2.1.2 Reverse engineering, reverse assembling, decompiling, or otherwise attempting to discover the source code, internal structure, interface logic, or security mechanisms of the software.

8.2.1.3 Using, renting, lending, copying, modifying, linking, reposting, compiling, publishing, establishing mirror sites for, or creating derivative works based on content for which the Developer owns intellectual property rights.

8.2.1.4 Copying, modifying, adding to, deleting, hooking, running, or creating derivative works from the software, data released into terminal memory during the operation of the software, data exchanged between the client and the system or third-party services, or system data necessary for the operation of the software.

8.2.1.5 Adding, deleting, or changing software functions or operating effects by modifying or forging instructions, data, transaction status, membership status, sync status, AI configuration, or permission status during software operation.

8.2.1.6 Logging into or using SpotMate software and services through third-party software, plug-ins, add-ons, systems, scripts, or automation tools not developed or authorized by the Developer, or creating, publishing, or disseminating the foregoing tools.

8.2.1.7 Interfering, by yourself or by authorizing others or third-party software, with the software and its components, modules, data, membership benefits, sync logic, StoreKit transaction verification, iCloud data, or AI configuration.

8.2.1.8 Circumventing the App Store, StoreKit, membership restrictions, system permissions, iCloud status, or other technical measures, or obtaining unauthorized benefits through forgery, cracking, packet capture replay, tampering with local data, or similar methods.

8.2.1.9 Any other acts not expressly authorized by the Developer.

8.2.2 You understand and agree that, based on comprehensive factors such as user experience, software and related service platform security, Apple platform rules, laws and regulations, and the healthy development of the product, the Developer has the right to determine feature settings, feature availability, data interfaces, and the objects and scope of related data disclosure. For acts that violate laws and regulations, this Agreement, platform rules, or present security risks, the Developer has the right to suspend or terminate the provision of all or part of the services as appropriate.

8.3 Service Operation Rules

Unless permitted by law or with the written permission of the Developer, you may not engage in the following acts when using the service: submitting or publishing false information or impersonating others; inducing others to click links or share information; fabricating facts or concealing the truth to mislead others; infringing the lawful rights and interests of others; using software features for promotion, mutual promotion, or commercial activities without permission; using the software to engage in any illegal or criminal activities; creating, publishing, or disseminating methods or tools related to the foregoing acts; or any other acts that violate laws and regulations, infringe the lawful rights and interests of others, interfere with normal product operation, or are not expressly authorized by the Developer.

8.4 Responsibility for Your Own Conduct

You fully understand and agree that you are responsible for all your conduct in the software and services, including any content you enter, import, save, export, share, upload, use for AI parsing, or write through Shortcuts, and any consequences arising therefrom. You should make your own judgment regarding content in the service and assume all risks arising from the use of such content, including risks arising from reliance on the correctness, completeness, usefulness, or recoverability of item names, locations, photo recognition, shelf-life dates, expiry dates, warranty periods, reminder dates, AI outputs, or search results. The Developer cannot and will not assume responsibility beyond that required by law for any loss or damage caused by the foregoing risks.

8.5 Breach Handling

If the Developer discovers, or receives reports or complaints from others, that a user has violated this Agreement, the Developer has the right, based on reasonable judgment, to take measures including but not limited to reminders, restricting or prohibiting the use of some or all features, suspending services, terminating services, deleting illegal or non-compliant content, reporting to relevant authorities, lawfully preserving relevant information, and taking legal action. If your violation of this Agreement or related service terms results in or gives rise to claims, demands, or losses asserted by third parties, you shall independently bear responsibility. If the Developer suffers losses as a result, you shall also bear compensation liability in accordance with law.

9. Intellectual Property Statement

9.1 The Developer is the intellectual property rights holder of the software. All copyrights, trademarks, patents, trade secrets, and other intellectual property rights in the software, as well as the interfaces, icons, texts, designs, structures, source code, database structures, algorithm logic, service marks, and related documents associated with the software, are protected by the laws and regulations of the People’s Republic of China, the laws of the United States, and applicable international treaties. The Developer or relevant rights holders enjoy the foregoing intellectual property rights.

9.2 Without the written consent of the Developer or relevant rights holders, you may not, for any commercial or non-commercial purpose, implement, use, transfer, copy, modify, disseminate, rent, lend, display, run, reverse engineer, sublicense, or otherwise use the foregoing intellectual property rights by yourself or by permitting any third party to do so.

9.3 Lawful content that you enter, upload, save, or publish during your use of the software and services will not result in the transfer of intellectual property rights, portrait rights, or other rights merely because you use the software. At the same time, you understand and agree that, to achieve the product purposes, the Developer may process content that you actively submit to the software within the scope permitted by law, including but not limited to local storage, retrieval, display, reminders, sync, import and export, voice playback, image recognition, item-information extraction, AI parsing, or sharing according to your instructions.

9.4 If a third party claims that the software, or your possession or use of the software, infringes its intellectual property rights, the Developer, not Apple, will be responsible for the investigation, defense, settlement, and handling of such intellectual property infringement claims within the scope prescribed by law.

10. Terminal Security Responsibility

10.1 You understand and agree that, like most software, the software may be affected by various factors, including but not limited to user-related reasons, network service quality, system version, Apple platform services, third-party AI services, AI image-recognition services, iCloud status, and social environment. It may also be affected by various security issues, including but not limited to illegal use of user information by others, malicious programs, trojans, phishing websites, device loss, and account leakage, which may affect the normal use of the software or data security. Therefore, you should strengthen your awareness of information security and personal information protection, and pay attention to the protection of your device, Apple ID, app password, API key, image content, and backup files to avoid losses.

10.2 You may not create, publish, use, or disseminate malicious programs, scripts, plug-ins, or tools used to steal others’ personal information, property, Apple ID, app data, backup files, API keys, or membership benefits.

10.3 Maintaining software security and normal use is the shared responsibility of the Developer and you. The Developer will take necessary technical measures in a reasonable and prudent manner in accordance with industry standards to protect your terminal device information and data security. However, you acknowledge and agree that the Developer cannot provide a complete guarantee in this regard.

11. Apple-Related Terms

11.1 Maintenance and Support

The Developer is responsible for maintenance and support of the software to the extent required by law or stated in this Agreement. You and the Developer acknowledge that Apple has no obligation to provide any maintenance or support services for the software.

11.2 Warranty and Refunds

If the software fails to conform to any applicable warranty, you may notify Apple. Apple may refund the purchase price paid by you for the app, if applicable, in accordance with its rules. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the software. Any other claims, losses, liabilities, damages, costs, or expenses arising from failure to conform to any warranty shall be the responsibility of the Developer, not Apple, within the scope prescribed by law.

11.3 Product Claims

You and the Developer acknowledge that the Developer, not Apple, is responsible for addressing any claims by you or any third party relating to the software or your possession or use of the software, including but not limited to product liability claims, claims that the software fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar laws.

11.4 Third-Party Beneficiary

You and the Developer acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of the Apple-related terms in this Agreement. Upon your acceptance of this Agreement, Apple will have the right, and will be deemed to have accepted the right, to enforce the Apple-related provisions of this Agreement against you as a third-party beneficiary.

11.5 Export Control

You may not use, export, or re-export the software in violation of U.S. law, the laws of your location, or the laws of the location where the software was obtained. You represent and warrant that you are not located in a country or region subject to a U.S. government embargo, nor in a country or region designated by the U.S. government as supporting terrorism; and that you are not listed on the U.S. Treasury Department’s Specially Designated Nationals List, the U.S. Commerce Department’s Denied Persons List, Entity List, or any other applicable prohibited or restricted party list.

11.6 U.S. Government End Users

The software and related documentation are “Commercial Items” as defined in 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation”. U.S. government end users acquire the software and related documentation only with the rights granted to all other end users under this Agreement. Unpublished rights are reserved under the copyright laws of the United States.

12. Disclaimers and Limitation of Liability

12.1 To the maximum extent permitted by law, SpotMate and related services are provided on an “as is” and “as available” basis. The Developer makes no express or implied warranties that the software will be error-free, uninterrupted, always secure, always available, completely accurate, meet all your needs, definitely help you find items, or definitely recover data.

12.2 The Developer shall not assume liability beyond that required by law for data loss, feature unavailability, incorrect results, or losses caused by the following reasons: changes to system permissions, device failures, system upgrades, Apple/iCloud backup or restoration abnormalities, CloudKit status, App Store or StoreKit status, external AI service abnormalities, AI image-recognition or image-understanding abnormalities, item-information extraction errors, shelf-life/expiry/warranty recognition errors, users’ own deletion or overwriting of data, damaged backup files, network abnormalities, misoperation, third-party service changes, or force majeure.

12.3 SpotMate cannot guarantee that items will definitely be found, and it cannot replace your own confirmation of physical item locations, permissions, food or medicine safety, product quality, due dates, shelf-life dates, expiry dates, warranty terms, lending and return relationships, or other real-world circumstances. AI outputs, AI image-recognition results, image text-recognition results, speech recognition, search results, reminder results, and statistical results may contain errors, omissions, delays, or misunderstandings. You should verify them yourself before taking action.

12.4 To the maximum extent permitted by law, the Developer shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from the use of or inability to use the software, or for loss of profits, business interruption, data loss, device damage, third-party fees, or loss of goodwill, even if the Developer has been advised of the possibility of such damages.

12.5 To the extent permitted by law, the Developer’s total liability to you shall be limited to the amount you actually paid to Apple or the Developer for using SpotMate during the past twelve months. If you have not paid any fees, the limit shall be USD 50 or the minimum/maximum limit permitted by applicable law. If mandatory provisions of law provide otherwise, such provisions shall prevail.

13. Miscellaneous

13.1 By using the software, you are deemed to have read and agreed to be bound by this Agreement. The Developer has the right to modify the terms of this Agreement when necessary. You may review the relevant agreement terms in the latest version of the software, on pages published by the Developer, or on the App Store page. After the terms of this Agreement are changed, if you continue to use the software, you will be deemed to have accepted the amended Agreement. If you do not accept the amended Agreement, you should stop using the software.

13.2 The place where this Agreement is entered into is Jinghong City, Xishuangbanna Dai Autonomous Prefecture, Yunnan Province, People’s Republic of China.

13.3 The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of mainland China, excluding conflict-of-law rules. However, this shall not exclude Apple rules, mandatory consumer protection laws of the user’s place of residence, or other mandatory legal provisions that cannot be excluded.

13.4 If any dispute or controversy arises between you and the Developer, the parties shall first seek to resolve it through friendly consultation. If consultation fails, you agree to submit the dispute or controversy to the competent people’s court at the place where this Agreement is entered into, unless mandatory laws of the consumer’s place of residence provide otherwise.

13.5 The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from this Agreement.

13.6 The headings of all terms in this Agreement are for reading convenience only, have no substantive meaning in themselves, and shall not be used as a basis for interpreting the meaning of this Agreement.

13.7 If any provision of this Agreement is partially invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding on both parties.
